License Agreement for PixelPress Icons Royalty-Free and "Stock" Icons

This is a legal agreement between you (the "Licensee") and Gary W. Gehiere. By downloading Gary W. Gehiere's royalty-free icons you agree to the following: 

1. All of the icons and artwork, including derivative works, remain the property of Gary W. Gehiere. The icons may be used royalty-free by the licensee for any personal or commercial projects.

2. Unauthorized use or failure to pay in full results in immediate termination of this license, and with it Licensee's rights to use the icons.

3. The Licensee has the non-exclusive, non-transferable, non-sublicensable right to use the icons but ownership of the icons remains with Gary W. Gehiere. This non-exclusive license includes the following permitted uses:

3.1. Use in electronic publications, including website designs.
3.2. User interface design and software programs.
3.3. Print publications.
3.4. Advertising material.
3.5. Licensee may alter, crop, manipulate and create derivative works of the icons.

4. The Licensee must not engage in the following prohibited uses of the icons:

4.1. Use as corporate logo, trademark or service mark.
4.2. Inclusion of the icons in an electronic template intended to be reproduced by third parties on electronic or printed products.
4.3. Licensee may not sell, license or distribute any derivative work based on the icons.
4.4 Licensee may not post the icons online in a downloadable format or enable the icons to be distributed.
4.5 Inclusion of the icons in an open source project.

5. Gary W. Gehiere shall not be liable for any damages, whether direct, indirect, consequential or incidental, arising out of the use of, or the inability to use, this product or any individual image or icon. 

6. The license will terminate without notice if Licensee fails to comply with any provision of this Agreement. Upon termination, Licensee must immediately:

6.1 Stop using the icons.
6.2 Destroy, delete or remove the icons from Licensee's premises, computer systems and storage (electronic or physical) and promptly confirm to Gary W. Gehiere in writing.

7.  Gary W. Gehiere reserves the right to revoke the license to use the icons for good cause and elect to replace icons with alternatives. Upon notice of any revocation of such license, Licensee shall immediately cease using the icons and shall where possible ensure that its clients and customers do likewise. Licensee shall delete all electronic copies of the icons from its electronic storage media, confirming the same to Gary w. Gehiere.

8. This License Agreement shall remain in full force and effect throughout the entire duration of the use of the icons. It shall be terminated in the event the user does not comply with the terms and conditions of this agreement and or full payment has not been made.
